Description

A leader in the banking industry is searching for an Agency Transaction Manager to join them for a 6-month contract.


The role of this position is to co-ordinate the end-to-end deal life cycle of syndicated company originated products as well as any third party originated transactions to which the company has been assigned as the Facility Agent, focussing on facility origination post financial close, ongoing facility management in terms of the underlying legal agreements and document management on the bank’s syndication platform (currently Debt Domain).


Responsibilities:



  • Once draft legal agreements become available, ensure that the transaction being negotiated can be facilitated on the bank’s systems with minimal manual intervention and can be administered within the bank’s existing operational capabilities.

  • Ensure that all Project Accounts are opened as per the Account Bank agreement with the appropriate account signatories:

    • Lender controlled accounts should have Agency team members as the signatories; and

    • Ensure that access is correct for clients loaded on the Business online Agency Profile

    • For all new deals and refinances/extensions of existing deals and any secondary distributions, ensure receipt of copies of all Legal Agreements; CP documents (including CS’s where applicable), and Authority Sought and upload these onto Debt Domain.

    • Provide a comprehensive handover of all new deals as well as amendments/refinances/extensions of existing deals to the Loans Admin team:

      • Complete a New Deal Summary template and provide a copy to Loans Admin;

      • Set up a meeting with Loans Admin to discuss the New Deal Summary template and perform a deal handover;

      • Send copies of the executed Facility Agreement to the assigned Loans Administrator.

      • Coordinate exceptions, waivers, refinancing’s, extensions and amendments with all stakeholders, both internal and external to the bank.

      • Actively manage deal covenants on Debt Domain and update all covenants as applicable, saving covenant information onto Debt Domain.

      • Follow up and manage outstanding fees and the recovery thereof in conjunction with Loans Admin:

      • Coordinate the receipt of commercial risk covenants and information undertakings from the Borrower on behalf of the syndicate

      • Coordinate the early prepayment of any facilities with Loans Admin, and the syndicate of Lenders, including finalising Breakage Costs (if any).

      • Advise Product Control to recognise any fees that are still being amortised for any deals prepaid before their final maturity date.

      • With consultation with Agency Front Office, coordinate the return of security to the Borrower upon final repayment of the facility, if applicable.

      • All deals originated are managed effectively within our current operating capabilities in line with legal, regulatory and compliance requirements. With the maximum use of our loan system.

      • Agency fees invoiced and recovered for the full portfolio managed.

      • Number of findings reported via the governance process review on deals managed that is not in line with the operating model.

      • Number of Operational Risk Incidences reported on deals managed.

      • Where requested, number of instances where system testing, or input is required into projects requiring the assistance of TMU is not provided or adequately completed.

      • Living the PACT Values and adapting the behaviours.

      • Successful maintenance of relationships with all key stakeholders, keeping the client at the heart of everything we do.

      • Continually growing as an individual and improving overall performance.






Requirements:



  • Undergraduate degree in Commerce, Business Science or equivalent tertiary education.

  • Experience within a Transaction Management, Agency or equivalent Middle Office environment; or

  • Alternatively, experience within a Finance Team, Internal Audit team, working as a Credit Manager or Completion of Articles with a bank or auditing firm will be preferred
